Please read these Terms of Service ("Terms") carefully before using the PaymentsPlus website and payment processing services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Services

PaymentsPlus provides payment processing services to Canadian businesses, including but not limited to:

  • Credit and debit card processing
  • Point-of-sale (POS) terminal solutions
  • Online payment gateway services
  • Merchant account services
  • Payment analytics and reporting
  • Customer support and technical assistance

3. Merchant Account Requirements

To use our payment processing services, you must:

  • Provide accurate and complete business information
  • Maintain a valid Canadian business registration
  • Provide valid banking information for settlement
  • Comply with card network rules (Visa, Mastercard, etc.)
  • Maintain PCI DSS compliance standards
  • Operate a legitimate business that does not sell prohibited products or services

We reserve the right to approve or decline merchant applications at our sole discretion.

4. Fees and Payments

You agree to pay all applicable fees for our services as outlined in your merchant agreement. Fees may include:

  • Transaction processing fees (interchange plus markup)
  • Monthly account fees
  • Equipment rental or purchase fees
  • Chargeback and retrieval fees
  • PCI compliance fees
  • Other fees as specified in your agreement

We reserve the right to modify our fee structure with 30 days' written notice. Fees are deducted from your settlement funds unless otherwise specified.

5. Settlement and Funding

Funds from processed transactions will be deposited into your designated bank account according to your settlement schedule (typically next business day). We reserve the right to:

  • Hold funds if fraud or suspicious activity is detected
  • Establish a reserve account for high-risk merchants
  • Delay funding during investigations
  • Debit your account for chargebacks, fees, or adjustments

6. Prohibited Activities

You agree not to use our services for:

  • Illegal products or services
  • Fraudulent transactions or money laundering
  • Adult content or gambling (unless properly licensed)
  • Counterfeit or trademark-infringing goods
  • Illegal drugs or drug paraphernalia
  • Weapons or ammunition (unless licensed)
  • Any activity that violates card network rules

Violation of these prohibitions may result in immediate account termination and potential legal action.

7. Chargebacks and Disputes

You are responsible for all chargebacks and disputes associated with your account. You agree to:

  • Respond promptly to chargeback notifications
  • Provide documentation to dispute chargebacks
  • Maintain chargeback ratios below card network thresholds
  • Pay all chargeback fees regardless of dispute outcome

Excessive chargebacks may result in account suspension, increased fees, or termination.

8. Data Security and PCI Compliance

You agree to maintain compliance with the Payment Card Industry Data Security Standard (PCI DSS) and to protect all cardholder data. You must:

  • Complete annual PCI compliance validation
  • Implement appropriate security measures
  • Report any security breaches immediately
  • Never store prohibited cardholder data

Non-compliance may result in additional fees, fines, or account termination.

9. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of PaymentsPlus or its licensors and is protected by Canadian and international copyright laws. You may not reproduce, distribute, or create derivative works without our written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYMENTSPLUS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or system failures
  • Actions of third parties, including card networks or banks
  • Fraudulent transactions processed through your account

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless PaymentsPlus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Any chargebacks or disputes on your account
  • Any data breaches caused by your negligence

12. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your account:

  • Immediately for violation of these Terms
  • Immediately for suspected fraud or illegal activity
  • Immediately for excessive chargebacks
  • With 30 days' notice for any other reason

You may terminate your account with 30 days' written notice. Upon termination, you remain responsible for all fees, chargebacks, and obligations incurred prior to termination.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any disputes through good-faith negotiation. Either party may request mediation, with costs shared equally. This does not prevent either party from seeking injunctive relief for intellectual property violations or other urgent matters.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or posted on our website at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with your Merchant Agreement and our Privacy Policy, constitute the entire agreement between you and PaymentsPlus regarding the use of our services and supersede all prior agreements and understandings.
